About David Butow

"I have the good fortune of working at Ingersoll Rand, where I am Vice President and General Counsel of our Climate Segment, a USD 10 billion revenue global business. I also have the privilege of leading a team of 20 world-class, geographically-dispersed, professionals who provide legal support and serve as strategic partners to our business units. I have resided, and practiced law, in jurisdictions from Asia to Europe to New York City.

In my current and prior roles I have led cross-functional, geographically dispersed legal teams to successfully conclude high-profile, high-value, time-sensitive, strategic transactions in the fields of Mergers and acquisitions (M&A), joint ventures, capital markets and finance, securities and SEC matters, and debt offerings and other credit matters. Many of these transactions have involved heightened scrutiny from regulators.

I have presented to and advised public company Boards of Directors and senior executives on strategic projects and other sensitive matters, such as hostile transactions and unsolicited offers, matters involving shareholder activism, disclosure issues and corporate governance matters. I am experienced in crisis management, and have managed litigation in venues around the globe, including disputes in excess of USD 100 million.

I have broad knowledge of matters in all of the key legal disciplines, including intellectual property; employment and employee benefits; tax; ethics and compliance and related investigations; antitrust and competition; restructuring; real estate; and commercial law. This work has of the work of my legal career has involved industrial, manufacturing, chemical, energy, biotech, media, hospitality and telecommunications companies; financial institutions; and private equity and investment management funds.

I am a winner of 2014 Corporate Counsel Award by Charlotte Business Journal and a frequent speaker at conferences focused on legal issues and M&A matters."
